These Terms of Service ("Terms") govern your use of the services provided by Navpoint AI LLC ("Navpoint AI," "we," "us," or "our"). By using our services, you agree to be bound by these Terms.

1. Services

Navpoint AI provides AI-powered voice agent services for businesses, including but not limited to automated call answering, lead qualification, appointment booking, SMS follow-up, and lead notification. Our services are designed to help businesses manage inbound calls and capture leads.

2. Subscription and billing

Our services are provided on a month-to-month subscription basis. By subscribing, you agree to pay the applicable monthly fees as outlined at the time of your enrollment.

  • No long-term contracts: You are not required to commit to any minimum term. Your subscription renews monthly until you cancel.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial billing periods.
  • Payment: Subscription fees are billed in advance on a monthly basis. You authorize us to charge your designated payment method for all applicable fees.
  • Price changes: We reserve the right to modify our pricing with 30 days' written notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

3. Your responsibilities

As a user of our services, you agree to:

  • Provide accurate and complete information about your business and services
  • Comply with all applicable laws and regulations, including telecommunications and consumer protection laws
  • Obtain any necessary consents from your customers for call recording and SMS communications
  • Not use our services for any unlawful, fraudulent, or harmful purpose
  • Maintain the confidentiality of your account credentials

4. AI voice agent limitations

Our AI voice agents are designed to handle common inbound call scenarios for home service businesses. You acknowledge that:

  • AI agents may not be able to handle every caller inquiry or situation
  • AI agents are not a substitute for licensed professionals (medical, legal, emergency services)
  • Responses generated by AI agents are based on the information and training provided and may not always be perfectly accurate
  • We continuously work to improve our AI agents but cannot guarantee error-free performance

5. SMS messaging program

Navpoint AI operates an SMS messaging program on behalf of home service businesses. When you provide your phone number and consent to receive text messages — whether through a phone call with our AI voice agent, a web form, or other opt-in method — you may receive the following types of messages:

  • Appointment confirmations and reminders
  • Service follow-up messages
  • Responses to your service inquiries

Message frequency varies based on your interactions and service requests. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

You can cancel the SMS service at any time. Simply text "STOP" to the number from which you received a message. Upon sending "STOP," you will receive a confirmation SMS that you have been unsubscribed. After this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.

If you are a business subscribing to our SMS services on behalf of your customers, you agree to:

  • Ensure that your customers have consented to receive SMS communications
  • Comply with all applicable SMS and telecommunications regulations, including the Telephone Consumer Protection Act (TCPA)
  • Promptly honor any opt-out requests from your customers

6. Intellectual property

All content, software, technology, and materials associated with Navpoint AI's services are our property or the property of our licensors. You may not copy, modify, distribute, or reverse-engineer any part of our services without our written consent.

7. Limitation of liability

To the fullest extent permitted by law, Navpoint AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or loss of business opportunities, arising from your use of our services.

Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Navpoint AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law.

9. Age restriction

You must be at least 18 years of age to use our services or subscribe to our SMS messaging program. By using our services, you represent and warrant that you are at least 18 years old.

10. Termination

We reserve the right to suspend or terminate your access to our services at any time if you violate these Terms or engage in conduct that we determine is harmful to our business, our clients, or other users. You may terminate your account at any time by canceling your subscription.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Salt Lake County, Utah.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of any material changes by email or by posting a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
